Scope
This website (Website), and the technological or online portal (Portal), and access to any online dispute resolution services (ODR Services) made available on the Portal by the Service Provider (RESOL) to you (You or User) are subject to these terms of use (ToU), the Rules and Procedures (R&P), and the Privacy Policy (PP) published on the Website (available at: [www.resolservices.com__]). In the event of a conflict between a provision of the ToU (as amended from time to time) and any provision contained in any specific written agreement that RESOL has entered into with You (Specific Agreement), the provision contained in the Specific Agreement shall override the ToU provision to the extent of such conflict between RESOL and You. The R&P and the PP published on the Website and updated from time to time are incorporated by reference into these ToU. Capitalised terms used but not defined in these ToU will have the meanings ascribed to them under the R&P.
A dispute is considered to be an ‘Active Dispute’ after an invitation by a party to a dispute to use ODR Services through RESOL’s Portal is accepted by all other parties to such dispute, and RESOL agrees to allow all parties access to the ODR Services through its Portal for the resolution of such dispute. Any violation of these ToU by the User or any other party to an Active Dispute may lead to RESOL suspending, aborting, or limiting the ODR Services. The User is solely responsible for understanding and complying with all applicable laws, rules, and regulations of India in connection with the User’s use of the Website, Portal, and the ODR Services.
Access to the ODR Services facilitated by RESOL and any award made by a dispute resolution professional (DRP) in relation to an Active Dispute do not constitute legal advice or express any legal opinion on any provision of law by RESOL. Any award, order, settlement proposal, or communication issued by RESOL or a DRP is intended to be relied upon only by the parties involved in the Active Dispute, and for the specific matters it relates to. It should not be quoted or referred to for any other purpose unless required for appeal or enforcement purposes.
The provision of ODR Services on the Portal is subject to the User’s timely payment of any agreed-upon fees between the User and RESOL, as amended from time to time.
RESOL does not control the legality or enforceability of the agreements between parties to an Active Dispute and is not responsible for verifying the legality of such agreements. The User agrees that they are satisfied with the enforceability of the agreement before referring it to RESOL for dispute resolution.
The Portal is not intended to facilitate any dispute resolution methods prohibited under applicable law in India, including arbitration of non-arbitrable disputes. RESOL does not guarantee the permissibility of any dispute resolution method used. The User may only access the ODR Services if they believe it is permitted under applicable law. The following is an indicative list of matters that RESOL believes are ‘non-arbitrable’ under Indian law:

  • Criminal offences;
  • Matrimonial disputes, including divorce and child custody;
  • Guardianship matters;
  • Insolvency or winding-up proceedings;
  • Testamentary matters, such as probate and succession certificates;
  • Disputes involving trusts;
  • Anti-trust/competition law disputes;
  • Fraud cases;
  • Consumer disputes filed with the National Consumer Disputes Redressal Commission.

Eligibility, Restrictions, and Undertakings
The User represents that they are either a body corporate incorporated under Indian law or a citizen of India with legal capacity to contract.
The User agrees to access the ODR Services without engaging in the following prohibited activities:

  • Using automated means to access or interfere with RESOL’s systems;
  • Bypassing RESOL’s security measures or manipulating data;
  • Providing false or misleading evidence, testimonies, or statements;
  • Engaging in abusive, offensive, or inappropriate communications on the Platform;
  • Using another user’s account without permission;
  • Attempting to destabilize the Portal or ODR Services;
  • Publishing malicious content intended to harm another user’s system;
  • Modifying or copying RESOL’s website or content for unauthorized purposes.

The User acknowledges and agrees to:

  • Be liable for any service fees related to ODR Services;
  • Provide all requested information and data in relation to the Active Dispute;
  • Ensure they have the necessary resources and technical awareness to use the ODR Services fairly and transparently;
  • Accept that RESOL is not liable for any system malfunctions caused by the User's actions.

Indemnity
The User agrees to indemnify, defend, and hold RESOL and its affiliates, officers, and employees harmless from any claims, liabilities, costs, or expenses arising from the User’s use of the Website, Portal, or ODR Services, or any violation of these ToU.
No Liability for Lost Data
RESOL shall not be responsible for any loss or deletion of data unless caused solely by RESOL. The User is encouraged to back up all important content.
Disclaimer of Warranties & Limitation of Liability
The Website, Portal, and ODR Services are provided on an “as is” basis. RESOL makes no guarantees about the accuracy, completeness, or usefulness of the ODR Services, and any reliance on the DRP or RESOL’s services is at the User’s own risk.
Miscellaneous
These ToU may be amended by posting a revised version on the Website. Any disputes arising from these ToU shall be governed by Indian law and subject to the exclusive jurisdiction of the courts in Delhi, India. RESOL may assign its rights under these ToU, and these terms will be binding on permitted assigns.
